Terms of Service

These Terms of Service (“Terms”) form a binding agreement between you and AppApex (“AppApex,” “we,” “us,” or “our”) and govern your access to and use of appapex.io and our AI growth platform for indie iOS subscription apps (collectively, the “Services”).

By creating an account, accessing, or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Services. By using the Services, you represent that you meet these requirements.

• You are responsible for keeping your login credentials secure and for all activity that occurs under your account.
• Account information you provide must be accurate, current, and complete.
• You must notify us promptly of any unauthorized use or suspected security incident.

Some features of the Services are offered on a paid subscription basis. By selecting a paid plan, you authorize us (or our payment processors) to charge the payment method on file for all applicable fees.

• Subscriptions renew automatically at the end of each billing cycle until cancelled.
• You can cancel future renewals at any time from your account settings; cancellation takes effect at the end of the current billing period.
• Fees are exclusive of applicable taxes, which you are responsible for paying.
• We may change prices or plan features with reasonable advance notice; changes apply at the start of your next billing cycle.

We may offer free trials or promotional pricing from time to time. Unless required by law, fees are non‑refundable, and partial periods are not prorated. If you believe you were charged in error, please contact us and we will review your request in good faith.

You agree to use the Services only for lawful purposes and in accordance with these Terms. You will not:

• Reverse engineer, decompile, or attempt to extract the source code of the Services.
• Use the Services to build a competing product, or to train machine learning models that compete with AppApex.
• Upload content that is unlawful, infringing, harmful, deceptive, or violates the rights of others.
• Attempt to gain unauthorized access to the Services, other accounts, or related systems.
• Interfere with, disrupt, or place an unreasonable load on the Services, including through automated scraping or bulk requests.
• Use the Services to send spam, malware, or other harmful or unsolicited communications.

You retain all rights to the content, app metrics, and integration data you submit or connect to the Services (“Your Content”). You grant AppApex a worldwide, non‑exclusive, royalty‑free license to host, process, transmit, and display Your Content solely as necessary to operate, secure, and improve the Services for you.

You are responsible for ensuring you have the rights and permissions necessary to share Your Content with us, including data retrieved from App Store Connect, RevenueCat, or other connected providers.

The Services use AI agents to generate insights, recommendations, and weekly action plans (“AI Output”). AI Output is provided for informational purposes and may be inaccurate or incomplete. You are solely responsible for reviewing AI Output before relying on it for business, legal, financial, or marketing decisions.

Subject to your compliance with these Terms, you may use AI Output generated for your account in connection with your apps and business. We do not claim ownership of AI Output you generate, but similar or identical output may be generated for other users.

The Services, including all software, models, designs, text, graphics, logos, and trademarks, are owned by AppApex or its licensors and are protected by intellectual property laws. Except for the limited rights expressly granted to you, all rights are reserved.

If you send us suggestions, ideas, or feedback about the Services, you grant us a perpetual, irrevocable, worldwide, royalty‑free license to use that feedback for any purpose without obligation to you.

The Services may integrate with or link to third‑party services such as App Store Connect, RevenueCat, payment processors, and analytics providers. We are not responsible for the availability, content, or practices of those third parties, and your use of them is governed by their own terms and policies.

You may stop using the Services and delete your account at any time. We may suspend or terminate your access to the Services, in whole or in part, if you breach these Terms, create risk or legal exposure for AppApex, or if we discontinue the Services.

Upon termination, your right to use the Services ends immediately. Sections that by their nature should survive termination will survive, including ownership, disclaimers, indemnity, and limitations of liability.

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON‑INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR‑FREE, OR THAT AI OUTPUT WILL BE ACCURATE OR RELIABLE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL APPAPEX, ITS AFFILIATES, OR ITS LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO APPAPEX IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

You agree to defend, indemnify, and hold harmless AppApex and its affiliates from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Services, Your Content, or your violation of these Terms or applicable law.

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. The exclusive venue for any dispute not subject to arbitration will be the state or federal courts located in Delaware, and you consent to personal jurisdiction there.

Where permitted, disputes will be resolved through binding individual arbitration rather than in court, and you waive any right to participate in a class or representative action.

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date and, where appropriate, provide additional notice. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
